These Terms of Use (“Terms”) set out the terms and conditions by which Singapore University of Social Sciences (“SUSS”, “us” or “our”) offers you access, whether through unilearn.edu.sg and its microsites (collectively, the “Site”) operated by SUSS or other platforms, to the information, online courses (each, a “Course”), applications and games (whether mobile or web based or in another format) (collectively, “App”) and other content developed or licensed to SUSS.

1.	Acceptance of Terms
1.1	Use of the information, video material, audio material, text, images, graphics, functions and other content and related services contained in the Courses, App on the Site or other platform, (collectively, the “Content”) is subject to these Terms together with the Privacy Notice and all applicable laws. Please read our Privacy Notice for important information on how we obtain and process your personal information in connection with your use of the Site and Content.
1.2	By clicking the “I Agree” checkbox, or by clicking a box that states you agree to these Terms during the registration process or otherwise accessing or using the Site or Content, you accept and agree to be legally bound by these Terms, whether or not you are a registered member of the Site. If any of these Terms is unacceptable to you, do not access or use the Site or Content.
1.3	These Terms may be revised or updated from time to time. The revised or updated Terms will be posted on the Site and your continued use of the Site or any of the Content shall be deemed and construed as your conclusive and binding acceptance of the revised or updated terms.
1.4	These Terms do not apply to the relationship between you and the online shop in which the App may be downloaded (e.g. Apple’s App Store or Google Play Store).
2.	Registration Obligations
2.1	You may be required to create a personal account to access the Content or an account may be automatically create for you when access the Site or Content for the first time (each, an “Account”).
2.2	If you are a minor in the jurisdiction in which you reside (generally under the age of 18), you must have your parent or legal guardian read and agree to be bound by these Terms before you can create an Account. If you are the parent or legal guardian of a minor who creates an Account, you and the minor accept and agree to be bound by these Terms. You are also responsible for all use of the Account and compliance with these Terms by the minor, including all purchases made on the Account. You are encouraged to supervise the minor’s online activities, review the Content they are accessing and, as appropriate, monitor their social interactions.
2.3	You agree to provide accurate and complete information about yourself, including your real name, to create the Account (the “Registration Data“). You further agree to maintain and promptly update the Registration Data to keep it accurate and complete.
2.4	When you create an Account, you may be required to provide your age information, country/region, email address and such other information as we may deem necessary to create your Account, all of which will be processed and stored in accordance with our Privacy Policy. You will be required to select a unique username and password (collectively, your “Login Credentials”). You agree that (a) you will not share your Account or Login Credentials with anyone; (b) sell, transfer or allow any other person to access your Account or Login Credentials or offer to do so; (c) you will keep your Login Credentials secret; and (d) you will not access or attempt to access the account of any other user of the Site or Content.
2.5	You must notify us immediately if you become aware of any breach of security, including any unauthorized Account access or any loss, theft or unauthorized use or disclosure of your Login Credentials or payment information so we can take appropriate steps. You are responsible for all losses on your Account where you have shared your Login Credentials or have failed to keep your Account or Login Credentials secure.
3.	Termination, Discontinuation
3.1	You may terminate your Account at any time by contacting us at unilearn@suss.edu.sg.
3.2	We may terminate or suspend your Account if we reasonably determine that: (a) you have breached any part of these Terms; or (b) we have stopped offering any Content in your region; or (c) you have not used your Account for a prolonged period of time provided we first inform you if we plan to take measures against your Account (i.e. termination or suspension) and give you reasonable opportunity to avoid such measures.
3.3	SUSS reserves the right at any time in its sole discretion to cease providing any Content, to change or discontinue any aspect or element of the Site, or to cease making the Site available.
4.	Intellectual Property and Limited Licence
4.1	All Content and other materials made available by SUSS on the Site or other platforms are owned by or licensed to SUSS and are protected by copyright laws. You must abide by all the copyright notices and other restrictions contained in the Content accessed through the Site or other platforms. SUSS grants you a limited, non-exclusive, non-transferable, revocable license to access the Site and use the Content for your personal, educational and non-commercial purposes only and expressly conditioned upon your compliance with these Terms. You may download any Content for which a downloading option is offered on the Site or other platforms and you will retain all copyright and other notices on any Content that you obtain from the Site or other platforms. You may not retransmit, publish, distribute, display, communicate or otherwise make available any of the Content to others. In no event may you alter, adapt, translate or modify the Content, including, without limitation, by adding any advertisement or other material or by interfering with the viewing of any Content. None of the foregoing restrictions will apply to your Contributions (as defined in Section 8 below).
4.2	You agree not to reproduce, display or otherwise provide access to the Site and/or the Content on another website or server, whether through framing, mirroring, linking, spidering, scraping or any other technological means (including any technology available in the future), without the prior written permission of SUSS.
4.3	If we terminate your Account, any licence granted by us to you in respect of the Site and the Content ends immediately. Unless otherwise expressly authorised by us in a signed written contract, you may not sell, copy, exchange, loan, reverse engineer, decompile, derive source code from, translate, lease, grant a security interest in, transfer, publish, assign or otherwise distribute any of the Content or any of SUSS’ intellectual property.
4.4	You may not use any of SUSS’ name, logo or trademarks or the name, logo or trademarks of any Content partners in any way without the prior written consent of SUSS except as integrated in or necessary for use of the Content.
4.5	If you wish to make any use of the Content that requires authorization under copyright, trademark or other rights, you must obtain all necessary permissions. You are solely responsible for determining whether permission is needed for you to be able to make use of the Content in question.
4.6	All rights in the Site and the Content that are not expressly granted are reserved. You agree to use the Site and the Content only in ways that comply with copyright and all other applicable laws, as well as with these Terms, and that do not infringe or violate anyone’s rights.
5.	Fees and Payment
5.1	SUSS or a Content partner may charge for Content that is offered on the Site or other platforms (“Chargeable Content”). If you wish to purchase Chargeable Content, you agree that you will provide accurate and complete payment information to SUSS or the third-party payment provider used by us. SUSS and Content partner shall not be responsible for any loss or damage incurred by you arising from the submission by you of false or inaccurate payment information. You further agree to pay all fees and applicable taxes in connection with such purchase.
5.2	Subject to applicable law, any applicable fees and other charges for Chargeable Content are payable in advance and are not refundable in whole or in part except as expressly provided in these Terms or SUSS’ prevailing refund policy.
5.3	SUSS or a Content partner may revise the pricing for any Chargeable Content at any time. Any revision in price will not affect the Chargeable Content which you have already purchased.
6.	Courses
6.1	Some Courses may specify eligibility requirements (including minimum age requirements). You agree that you will not participate (or continue to participate) in a Course unless you satisfy the eligibility requirements for that Course. By participating in a Course, you represent and warrant to SUSS that you satisfy (and will continue to satisfy) the eligibility requirements for that Course.
6.2	You acknowledge and agree that nothing in these Terms or the offering of the Courses to you on the Site or other platforms (or your participation in those Courses) entitles you to access or use the resources of SUSS and/or Content partner beyond what is available on the Site or other platforms.
6.3	You acknowledge that, by offering the Courses, SUSS has not and does not make any representation or warranty that completion of a Course will qualify you for any award or qualification other than as specified in Section 6.4.
6.4	Subject to your satisfactory completion of a Course as determined by SUSS and/or Content partner in its sole discretion, you may be awarded a statement acknowledging your completion of the Course (a “Certificate”). You acknowledge and agree that a Certificate does not convey any academic credit or entitle you to any recognition of prior learning. A Certificate is not equivalent to any award or qualification that might be awarded by SUSS and/or relevant Content partner. The contents of a Certificate will be determined by SUSS and/or the Content partner, in its sole discretion, and may change from time to time and from Course to Course.
6.5	SUSS and/or Content partner reserves the right to cancel, suspend, reschedule or modify the content of any Course at any time (including during the Course) in its sole discretion. You expressly agree that SUSS and/or the Content partner cannot accept any liability for loss or damage arising as a result.
7.	User Rules
7.1	You agree that you will not use the Site in a manner that: (a) is contrary to any law or which may encourage a person to act in a way which is contrary to any law; (b) may result in damage to the Site, Content or any property or equipment of SUSS or of its contractors or agents (including by uploading viruses or other harmful code); (c) is disruptive to others or that may restrict, disrupt or inhibit any other user from using or enjoying the Site and Content; (d) endangers the health and safety of any person; or (e) may cause an interference or disruption to SUSS’ operations.
7.2	You further agree that you will not: (a) use or attempt to use another user’s account; (b) modify, adapt, hack, or emulate the Content; (c) use any robot, spider, crawler, scraper, or other automated means or interface not provided or authorized by us to access the Content or extract data; (d) circumvent or attempt to circumvent any filtering, security measures, or other features designed to protect the Site and Content; (e) use the Site or Content for commercial purposes, financial or other gain; (f) infringe upon or violate SUSS’ rights or the rights of Site users or any third party; or (g) impersonate any person, business or entity, including an employee of SUSS, or communicating in any way that makes it appear that the communication originates from SUSS.
7.3	The User Rules set out in this Section 7 are not meant to be exhaustive, and we reserve the right to modify them, as well as take appropriate disciplinary measures including temporary bans, account suspension or termination and deletion to protect the integrity of the Site and Content, regardless of whether a specific behaviour is listed in the User Rules as inappropriate.
8.	User Generated Content
8.1	The Site may allow you to chat, contribute to or participate in blogs, message boards, online forums or any other functionality, and may provide you with the opportunity to create, submit, post, display, publish or broadcast content and material to us or on the Site such as, without limitation, text, video, audio, photographs, graphics, comments, suggestions or other material (collectively, “Contributions”). Contributions may be viewable by other users of the Site and through third-party platforms. As such, any Contributions you transmit are treated as non-confidential and non-proprietary. You are solely responsible for your Contributions and for the consequences of posting or submitting it. You agree that SUSS will have no responsibility or liability in connection with your use of any Contributions by other users.
8.2	You retain your individual copyright after submitting, posting or displaying your Contributions on the Site. However, you grant to us a limited license, so that we can make your Contributions accessible and usable on the Site without any limitation for an indefinite period. The license you grant to us is a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use and modify the content submitted, posted or displayed on the Site, including for use on any platform or media. SUSS is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site for any purpose whatsoever, including developing, manufacturing, and marketing products using such information, preparing derivative works of your Contributions, or incorporating your Contributions into other works. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions. If local laws do not allow for waiver of moral rights, you instead grant SUSS the right to use your Contributions and all elements of your Contributions with or without your name or pseudonym, as well as to freely edit your Contributions.
8.3	SUSS does not any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you to the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate SUSS from any and all responsibility and to refrain from any legal action against us regarding your Contributions. You represent, warrant and agree that none of your Contributions will be subject to any obligation, whether of confidentiality, attribution or otherwise, on the part of SUSS and SUSS will not be liable for any use or disclosure of your Contributions.
8.4	You further represent and warrant that your Contributions will not violate any third-party rights.
8.5	Whilst SUSS has no obligation to monitor or take action with respect to user Contributions, SUSS reserves the right to remove or delete any material that we, in our sole discretion, find to be in violation of these Terms or otherwise objectionable or inappropriate without having to assign any reason.
9.	Links
	The Site may contain links to websites operated by other parties. These linked sites are not under SUSS’ control and we are not responsible for the contents available there or any changes or updates to such sites. The Site provides outside links only as a convenience, or other users might be posting these links as user-provided content. Once you link to another site, you are subject to the policies of the new website. You will use these links and the corresponding external websites at your own risk. The inclusion of any link does not imply endorsement by SUSS or information or material on any other website.
10.	Copyright Complaints
10.1	SUSS respects the intellectual property rights of others and expects its users to do the same. If you’re a copyright owner, are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Site by submitting a complaint notice to http://support.unilearn.edu.sg that contains all of the following: (a) a signature (physical or electronic) from the owner or from a person authorized to act on behalf of the owner of the allegedly infringed content or material; (b) direct link/ Uniform Resource Locator (URL) to the protected work on the Site claimed to be infringing. Multiple protected work complaints are covered by a single notification by submitting a representative list of URLs from the Site; (c) sufficient identification of the copyrighted work or other intellectual property that has allegedly been infringed; (d) contact information such as an address, telephone number, and, if available, an electronic mail to permit SUSS’ representative to contact you; (e) A statement (i) that you have good faith belief that the content is not authorized by the rights holder, its agent, or the law, and (ii) that the information provided in the notification is accurate, and (f) that you are the owner of the copyright interest involved or that you are authorized to act on behalf of that owner.
10.2	If you fail to comply with all of the requirements of this Section, you acknowledge that your complaint notice may not be valid and may therefore not be handled (whether fully or partially) by SUSS.
10.3	If SUSS receives a complaint notice that complies with all the requirements of this Section, we reserve the right to refuse, to make private or to remove the relevant Content. We reserve our rights to take action against you if you misrepresent that a fair use of the Content constitutes infringement.
11.	Warranty Disclaimer
	The Site is provided by SUSS on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, SUSS and its Content partners disclaim all warranties of any kind (express, implied or otherwise) as to the Site or the Content, including but not limited to any implied warranties of merchantability, fitness for a particular purpose and non-infringement. SUSS and its Content partners make no warranty about the accuracy, reliability, completeness, timeliness, sufficiency or quality of the Site or the Content nor that any particular Content will continue to be made available. SUSS does not approve or endorse any user Contributions or content provided by others. SUSS does not warrant that the Site will operate without error or interruption, or that the Site or its server is free of computer viruses or other harmful materials.
12.	Limitation of Liability
	Your use of the Site and the Content is at your sole risk. In no event shall SUSS and/or its Content partners be liable to you, in contract, tort or otherwise, for any direct, indirect, special, incidental, consequential, punitive, exemplary or other damages of any kind arising out of or relating to the Site or Content, or your use of the Site or Content, or any third party rights in the Content, or these Terms even if the Site or Content is defective or SUSS is negligent or otherwise at fault, and regardless whether SUSS is advised of the possibility of such damages. If, notwithstanding the other provisions of these Terms, SUSS and/or its Content partners are found liable to you (in contract, tort or otherwise) for any damage or loss arising out of or relating to the Site or the Content, or your use of the Site or the Content, or any third party rights in the Content, or these Terms, the liability of SUSS and/or its Content Partners shall in no event exceed Singapore Dollars One Hundred (S$100) in the aggregate, even if the Site or Content is defective or the University is negligent or otherwise at fault. The foregoing limitations shall apply to the fullest extent permitted by applicable law.
13.	Indemnity
13.1	You are responsible for maintaining the confidentiality of your Login Credentials, your Account as well as all activities that occur under your Account.
13.2	To the extent possible under applicable law, you hereby agree to indemnify, defend, and hold SUSS and our Content partners and its/their respective officers, employees, agents, representatives and assigns (collectively, the “Indemnified Parties”) harmless from and against any and all losses, damages, liabilities and costs (including settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions) incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms or claims arising from your use of the Site, Content, your Contributions and/or your Account.
13.3	You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
14.	Applicable Law and Jurisdiction
	These Terms, and the interpretation, construction and enforceability of them, and all of your and our rights and obligations relating to this subject matter, whether arising under these Terms or otherwise, shall be governed by and construed in accordance with the laws of Singapore, without giving effect to its principles of conflict of laws. You agree that the sole and exclusive jurisdiction and venue for resolution of any disputes shall be in the courts of Singapore. If you choose to access the Site from locations outside of Singapore, you will be responsible for compliance with all local laws of those other locations.
15.	General
15.1	If any provision of these Terms is held to be invalid or unenforceable, that provision, to the extent unenforceable, shall be struck and shall not affect the validity or enforceability of the remaining provisions.
15.2	Headings are for reference purposes only and in no way define or limit the scope or extent of any provision of these Terms.
15.3	SUSS’ failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
15.4	Except as otherwise expressly provided in these Terms, nothing herein shall be deemed to confer any third party rights or benefits.
15.5	These Terms set out the entire understanding and agreement between you and SUSS with respect to the subject matter hereof.
15.6	No joint venture, partnership, employment o agency relationship exists between you and SUSS as a result of these Terms or your use of the Site and/or Content.
15.7	SUSS could suffer irreparable harm if a breach of certain of these Terms (such as Section 4) is not specifically enforced and damages may not be an adequate remedy for SUSS as a result. We may rely upon this Section to ask a court for injunctive relief or specific performance.

15.9	These Terms begin on the date you first accept them and last for as long as you use or maintain an Account. However, Sections 4, 5.1, 6.2 to 6.4, 8, 9, 11 to 14 and 15 shall survive the termination of these Terms.
